Agreement to Terms

By accessing, browsing, or using SpamShield ("the Service," "Platform," or "Website") operated by SpamShield, Inc. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms," "Agreement," or "ToS"), which constitute a legally binding agreement. If you disagree with any part of these terms, you must immediately discontinue use of the Service.

Acceptance of Terms

By using the Service, you represent and warrant that: (1) you are at least 16 years of age (or the age of majority in your jurisdiction); (2) you have full legal capacity to enter into this Agreement; (3) you are not prohibited from using the Service under any applicable laws; and (4) you will comply with all applicable laws and regulations in your use of the Service.

  • • SpamShield is an ASSISTIVE TOOL, not a guarantee against scams or fraud
  • • No detection system is 100% accurate - false positives and false negatives may occur
  • • ALWAYS verify suspicious communications through official channels
  • • We are NOT responsible for any losses resulting from reliance on our analysis
  • • The Service does NOT replace common sense, due diligence, or professional advice

Description of Service

SpamShield is an AI-powered service designed to help users identify potential SMS scams and fraudulent messages. The Service provides:

  • Analysis of text messages for scam indicators
  • Risk level assessments (Safe, Suspicious, Dangerous)
  • Educational information about common scam patterns
  • Security recommendations based on analysis results

Service Availability

We strive to maintain high availability, but the Service is provided "as is" and may be temporarily unavailable due to maintenance, updates, or technical issues.

Acceptable Use

You May:

  • Use the Service for personal, non-commercial purposes
  • Analyze SMS messages you have received
  • Share analysis results for educational purposes
  • Use the Service to educate others about scam prevention

You May NOT:

  • Submit content that violates laws or regulations
  • Use the Service to harass, abuse, or harm others
  • Attempt to reverse engineer or copy our detection algorithms
  • Overload our systems with excessive automated requests
  • Submit false or misleading information
  • Use the Service for commercial spam detection without authorization

Prohibited Content - DO NOT SUBMIT

Do not submit messages containing personal information of others, copyrighted material, or content that is illegal, harmful, or violates privacy rights.

NEVER submit your own sensitive information including:

  • Social Security Numbers (SSN) or government IDs
  • Credit card numbers or banking information
  • Passwords or authentication credentials
  • Medical records or health information
  • Driver's license numbers
  • Passport information
  • Any other personally identifiable information (PII)

DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS
  • SECURITY OR ERROR-FREE OPERATION
  • RESULTS OBTAINED FROM USE OF THE SERVICE

No Guarantee of Detection Accuracy

We make no representations or warranties regarding:

  • The accuracy, reliability, or completeness of scam detection
  • The Service's ability to detect all types of scams or fraudulent content
  • The absence of false positives (legitimate content flagged as suspicious)
  • The prevention of financial or personal losses

Technology Limitations

The Service relies on artificial intelligence, machine learning, and pattern recognition technologies that are inherently probabilistic and may produce incorrect results. Users acknowledge these technological limitations and agree not to rely solely on the Service for security decisions.

No Professional Advice

The Service does not provide legal, financial, medical, security, or any other professional advice. Any information provided is for general informational purposes only and should not be relied upon for making important decisions without consulting qualified professionals.

Third-Party Content

We are not responsible for any third-party content analyzed through our Service, including but not limited to SMS messages, images, or URLs. We do not endorse, guarantee, or assume responsibility for the accuracy or reliability of any third-party content.

Privacy and Data

Your privacy is important to us. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

  • Message content is processed temporarily and deleted within 24 hours
  • We do not store personal information or build permanent message databases
  • Analysis is performed securely with encryption
  • Usage analytics are collected anonymously to improve the service

Third-Party AI Processing

Important: To provide accurate scam detection, message content you submit may be processed by third-party artificial intelligence providers, including but not limited to:

  • OpenAI (GPT models) for advanced text analysis
  • Other AI/ML service providers as needed

These providers:

  • Process data under strict confidentiality agreements
  • Do not use your data to train their models (per their enterprise agreements)
  • Delete processed data according to their retention policies
  • Are separate entities with their own privacy policies

By using our Service, you acknowledge and consent to this third-party processing for analysis purposes.

Comprehensive Limitation of Liability

LIMITATION OF LIABILITY - IMPORTANT

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  1. NO LIABILITY FOR DAMAGES: IN NO EVENT SHALL SPAMSHIELD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
    • Loss of profits, revenue, or business opportunities
    • Loss of data or information
    • Financial losses from undetected scams
    • Damages from false positive detections
    • Loss of goodwill or reputation
    • Cost of substitute services
    • Personal injury or emotional distress
  2. LIABILITY CAP: OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE LIABILITY AROSE.
  3. BASIS OF BARGAIN: YOU ACKNOWLEDGE THAT WE HAVE SET OUR PRICES AND ENTERED INTO THIS AGREEMENT IN RELIANCE ON THE DISCLAIMERS AND LIMITATIONS SET FORTH HEREIN.
  4. ESSENTIAL PURPOSE: THESE LIMITATIONS SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Service Changes and Termination

  • Modify, suspend, or discontinue the Service at any time
  • Update these Terms with reasonable notice
  • Restrict access for violations of these Terms
  • Implement new features or change existing functionality

  • Discontinue use of the Service at any time

Indemnification

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless SpamShield, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising from or relating to:

  • Your violation of these Terms of Service
  • Your violation of any applicable laws or regulations
  • Your use or misuse of the Service
  • Your violation of any third-party rights
  • Any content you submit, post, or transmit through the Service
  • Your negligent or wrongful conduct

Intellectual Property Rights

Our Intellectual Property

All rights, title, and interest in and to the Service, including:

  • Software, algorithms, and source code
  • Designs, features, and functionality
  • Trademarks, logos, and brand elements
  • Content, text, and graphics
  • Trade secrets and proprietary methods

Are owned by SpamShield and protected by intellectual property laws.

Prohibited Actions

You may NOT:

  • Reverse engineer or decompile the Service
  • Copy, modify, or create derivative works
  • Remove copyright or proprietary notices
  • Use our trademarks without permission
  • Scrape or data mine the Service
  • Resell or commercialize the Service

User Content License: By submitting content for analysis, you grant us a limited, non-exclusive, royalty-free license to process and analyze the content solely for providing the Service. We do not claim ownership of your submitted content.

Dispute Resolution

Mandatory Arbitration

PLEASE READ CAREFULLY: THIS SECTION AFFECTS YOUR LEGAL RIGHTS

  1. Agreement to Arbitrate: Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law.
  2. Arbitration Process: Arbitration will be conducted by JAMS under its Streamlined Arbitration Rules, or a mutually agreed alternative.
  3. Class Action Waiver: YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.
  4. Small Claims Exception: Either party may pursue claims in small claims court if they qualify.
  5. Opt-Out: You may opt out of arbitration within 30 days of first use by emailing legal@spamshield.tech with "Arbitration Opt-Out" in the subject.

Governing Law and Venue

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

International Users: If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

Additional Terms

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, or acts of government.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpamShield regarding the Service.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT:

  • You agree to be bound by all provisions contained herein
  • You understand the limitations and disclaimers regarding the Service
  • You accept the risks associated with using an automated scam detection service
  • You will not hold SpamShield liable beyond the limitations set forth in these Terms

If you do not agree to these Terms, you must immediately cease all use of the Service.
